Professional cooperation framework for fiber optic patch cord manufacturing and customization services
Cooperation Scope
These Terms of Service apply to all B2B cooperation between mellax and professional buyers including system integrators, engineering firms, data center operators, and procurement agencies.
OEM/ODM manufacturing of fiber optic patch cords and related products
Custom product design, specification adjustment, and brand customization services
Bulk order production for network infrastructure and data center projects
Quality assurance, compliance certification, and after-sales support services
Order Rules
Minimum Order Quantity (MOQ)
Standard products: 1,000 pieces per SKU minimum
Custom OEM/ODM orders: 5,000 pieces per specification minimum
Sample orders: Negotiable based on customization complexity
Payment Terms
New customers: 30% deposit upon order confirmation, 70% balance before shipment
Established partners: Net 30-60 days payment terms available upon credit evaluation
Accepted methods: T/T, L/C at sight, or other mutually agreed terms
Delivery Schedule
Standard orders: 7-15 working days after deposit confirmation
Custom OEM/ODM orders: 15-30 working days depending on specification complexity
Urgent orders: Expedited production available with additional charges (subject to capacity)
Customization Terms
Sampling and Prototyping Fees
Standard samples: USD 50-150 per sample set (refundable upon bulk order confirmation)
Custom design samples: USD 200-500 depending on specification complexity (non-refundable)
Sample lead time: 3-7 working days for standard specs, 7-14 days for custom designs
Tooling and Mold Ownership
Custom molds/tooling fees: Charged separately based on design complexity (typically USD 500-3,000)
Ownership: Customer-funded molds belong to customer; mellax retains custody and maintenance rights
Mold lifespan: Guaranteed for minimum 100,000 production cycles with proper maintenance
Exclusivity: Custom molds are dedicated to customer's orders unless otherwise agreed
Quality Assurance & After-Sales
Quality Inspection
100% final inspection: All products undergo complete optical performance testing before shipment
Test reports: Insertion loss (≤0.3dB), return loss (≥50dB SM, ≥30dB MM), and compliance certificates provided
Third-party inspection: Customer may arrange independent inspection at factory before shipment (costs borne by customer)
Claims deadline: Quality issues must be reported within 7 days of delivery with photographic/test evidence
Warranty Policy
Standard warranty: 12 months from shipment date for manufacturing defects
Warranty coverage: Free replacement for proven manufacturing defects (shipping costs shared)
Exclusions: Damage from improper installation, misuse, unauthorized modifications, or force majeure
Extended warranty: Available for critical projects upon negotiation and additional fees
Liability & Dispute Resolution
Breach of Contract Liability
Payment delays: Late payment incurs 1.5% monthly interest; orders may be suspended after 15 days overdue
Order cancellation: Customer cancellations after production starts incur 30% cancellation fee; full payment if >50% completed
Delivery delays (mellax): Penalty of 0.5% per week (max 5% of order value) for delays exceeding agreed lead time without force majeure
Quality defects: mellax liable for replacement/refund only; indirect/consequential damages excluded unless gross negligence proven
Dispute Resolution
Negotiation first: Parties commit to resolving disputes through good-faith negotiation within 30 days
Mediation: If negotiation fails, disputes may be submitted to neutral third-party mediation
Arbitration: Unresolved disputes subject to arbitration under China International Economic and Trade Arbitration Commission (CIETAC) rules
Governing law: These Terms governed by laws of People's Republic of China; arbitration venue in Shenzhen
Force Majeure
Neither party liable for delays/failures due to events beyond reasonable control (natural disasters, war, pandemic, government actions, material shortages)
Affected party must notify the other within 7 days with supporting documentation
If force majeure persists >60 days, either party may terminate affected orders without penalty
